BioWare impacted as private equity buyout shifts debt to acquired assets
Video game developer BioWare faces fallout from a private equity acquisition structured around massive leveraged debt.

Canadian game developer BioWare has been caught up in a private equity acquisition that places heavy loan repayment obligations directly onto the target business. PC Gamer reported that the buyout relies on leveraged debt, where the collateral for the loan consists of the acquired company's assets rather than those of the private equity firm. This structure limits the financial risk for the investors while requiring the purchased business to manage the debt. [1]
The acquisition involved a $20 billion loan provided by investment bank JP Morgan. PC Gamer reported that repaying this substantial loan becomes the sole responsibility of the purchased company. If the debt proves insurmountable, the private equity firm remains insulated from the primary financial loss. [1]
As FTMQ Gaming reported earlier, publisher Electronic Arts was taken over by a private equity consortium consisting of Saudi Arabia's Public Investment Fund, Silver Lake, and Affinity Partners. That buyout was funded using $20 billion in leveraged debt from JPMorgan, leading bondholders to challenge the publisher over potential default and demand extra cash on earlier debt. [4]
BioWare was founded in Edmonton, Alberta, on February 1, 1995, by medical school graduates Ray Muzyka, Greg Zeschuk, and Augustine Yip. The founders originally pooled approximately $100,000 to start the studio. American publisher Electronic Arts acquired the developer in 2007. [2][3]
